These Terms of Service and Use (“Terms”) govern your access to and use of our websites, learning platform(s), applications, and services (collectively, the “Services”) operated by Hypermind Academy, a business unit of Axigen Dynamics LLC (“Company”, “we”, “us”, or “our”).

By using our Services, you (“you,” “your,” or “User”) agree to these Terms, our Privacy Policy, and any additional policies referenced herein. If you do not agree, you must discontinue use of the Services immediately.

1. Eligibility

• We reserve the right to deny refunds for courses that have been accessed or substantially completed.

4. License and Use of Services

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and view course content for personal, non-commercial use
• Download permitted materials for offline learning (where explicitly allowed)

You may not:

• Share or resell your access to others
• Reproduce, modify, or distribute course materials without permission
• Reverse engineer, decompile, or attempt to extract source code from the platform

5. User Conduct

You agree not to:

• Use the Services in any unlawful manner
• Harass, threaten, or violate the rights of others
• Upload or share any harmful, defamatory, or misleading content
• Use bots, scrapers, or any automated means to access the Services
• Circumvent security features or licensing restrictions

Violation of these rules may result in immediate suspension or termination of your account without refund.

All course content, site design, text, graphics, videos, logos, and digital materials are the exclusive property of Axigen Dynamics LLC – Hypermind Academy or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not use our trademarks or content without prior written permission, except as otherwise permitted under fair use.

7. User-Generated Content

If you post, submit, or upload content (e.g., discussion comments, assignments, feedback), you grant us a worldwide, royalty-free, perpetual license to use, reproduce, and display such content for educational and promotional purposes.

You represent and warrant that:

• You own or have the rights to the content you share
• Your content does not infringe on any third-party rights

8. Disclaimers

• The Services are provided “as is” without warranties of any kind.
• We do not guarantee outcomes, certifications, or job placement.
• We are not liable for any delays, inaccuracies, or interruptions in service due to third-party platform issues, internet access, or technical failures.

You use the platform at your own risk.

9. Limitation of Liability

To the fullest extent permitted by law, Axigen Dynamics LLC shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of data, profits, or business opportunities
• Issues arising from third-party integrations or services

Our total liability shall not exceed the total amount paid by you for Services in the past three months preceding the claim.

We reserve the right to suspend or terminate your account if:

• You breach these Terms or applicable law
• Your payment fails repeatedly
• You engage in disruptive or abusive conduct on the platform

You may terminate your account at any time. Upon termination, your license to use the content expires, and no further access will be granted.

13. Updates to the Terms

We may revise these Terms periodically. Changes take effect upon posting to the Site. Your continued use of the Services after changes are posted signifies your agreement to the updated Terms.

14. Dispute Resolution and Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, USA, without regard to conflict of laws.

Dispute Resolution

Any disputes shall first be attempted to resolve informally. If unresolved, they shall be submitted to binding arbitration under the rules of the American Arbitration Association. You agree to waive any right to class action.
